Introduction

ZF Fawer Chassis Technology Co. Ltd.

ZF Fawer Chassis Technology Co. Ltd. is a joint venture between ZF Friedrichshafen AG and FAW Group subsidiary Fawer Automotive Parts Co. Ltd.

Total investment stands at 403.5 million Yuan (RMB) with equity participation from ZF Group company Lemforder Metallwaren AG at 51 percent and Fawer at 49 percent. Operations commenced on July 16, 2005. Sales for 2007 reached US $120 million.

The 350 employee facility produces front and rear axles for the Audi A6, and chassis components for the passenger car and commercial vehicle market from the ZF Car Chassis Technology division and Off-Road Driveline Technology and Axle Systems division as well, including control arms and stabilizer bars for passenger cars and triangular torque rods, steering knuckles, king pins, tie rods, steering rods and four point arms for commercial vehicles.

The location covers an area of 71,400 square meters with 23,266 square meters of building space. The company has two sub-plants, including a passenger car systems plant for the production of front and rear axle modules, and a commercial vehicle/passenger car components plant which manufactures suspension components, steering shaft assemblies, and other chassis components for light, medium and heavy trucks, buses, and passenger cars. The company has an annual production capacity of 50,000 front and rear axle modules, 83,000 torque rods for commercial vehicles, and 82,000 steering shafts assemblies.

ZF Friedrichshafen AG is one of the world's leading automotive industry suppliers specializing in driveline and chassis systems. The company has over 54,500 employees at 125 locations in 26 countries. In 2005, the group recorded a turnover of ?10.8 billion, making ZF the third ranking automotive supplier in Germany and 15th largest globally.

TRW Fawer Commercial Vehicle Steering Systems (Changchun) Co. Ltd.

TRW Fawer Commercial Vehicle Steering Systems (Changchun) Co. Ltd. (TFCVS) was launched in April of 2004. The company is a joint venture between FAW Group subsidiary Fawer Automotive Parts Co. Ltd. and TRW Automotive J.V. LLC. With a total investment of 207.5 million Yuan (RMB) and registered capital of 83 million Yuan (RMB), equity participation between TRW and Fawer stands at 55% and 45% respectively. The contractual duration of the joint venture is 50 years.

Located in the Changchun Economic and Development Zone, the 30,000 square meter site includes a 12,000 square meter plant with 350 employees. The facility supplies more than 20 types of steering products to both domestic and overseas commercial vehicle markets, with primary customers being medium and heavy truck manufacturers. The plant also exports machined components to the United States and Mexico. The factory accommodates 14 assembly lines with an annual capacity of 250,000 units. Two assembly lines produce steering gears and parts based on TRW Advanced Steering (TAS) technology.

The TFCVS board of directors includes 7 members, 4 from TRW and 3 from FAW. Mr. Edward Carpenter, vice president, TRW Asia Pacific, serves as chairman with an FAW representative acting as vice chairman. The facility is managed by a TRW-assigned general manager with a supporting FAW deputy general manager.

The joint venture is committed to becoming one of the best suppliers of steering components for commercial vehicle makers both in China and abroad.

Headquartered in Livonia, Michigan, USA, the company, through its subsidiaries, employs approximately 63,000 people in 25 countries. Products include integrated vehicle control and driver assist systems, braking systems, steering systems, suspension systems, occupant safety systems, electronics, engine components, fastening systems, and aftermarket replacement parts and services.

ArvinMeritor FAW Sihuan (Changchun) Vehicle Brake Co. Ltd.

ArvinMeritor FAW Sihuan Vehicle Brake Co. Ltd. (AMFSVB) was formed on May 28, 2005 as a joint venture company between Detroit-based ArvinMeritor and FAW Sihuan Automotive's Axle Brake Divison.

The joint venture expands ArvinMeritor's global capacity to produce commercial vehicle foundation air brakes, specifically air disc brakes, drum brakes, and automatic slack adjusters. AMFSVB's principal domestic customers are FAW Group and other China domestic manufacturers of medium and heavy trucks, buses, coaches, and vehicle axles. The company also exports product to North America, Europe, and other international markets. Utilizing state-of-the-art machinery and manufacturing processes, the company dominates a lead position in the application and design of foundation brake systems for complete vehicles and axle assemblies.

Located on a 40,000 square meter site within the Changchun Economic and Development Zone, the company has a registered capital of US $4 million. The modern production plant includes a 630 ton coining press, vertical broaching machine, robotic welders, semi-automatic assembly line for automatic slack adjuster assembly, fabricated brake shoe assembly line, air disc brake assembly line, and advanced measuring and quality inspection equipment. The joint venture is capable of producing 100,000 units of brake shoes and slack adjusters during a single shift.

ArvinMeritor is a premier US $8 billion global supplier of a broad range of integrated systems, modules, and components to the motor vehicle industry. ArvinMeritor serves light vehicle, commercial truck, trailer and specialty original equipment manufacturers, and related after-sales markets all over the world. ArvinMeritor's global brake systems business offers foundation braking components, air compressors, air dryers, hydraulic and pneumatic anti-lock braking systems, brake control valves, electronic braking systems, and stability control systems.

Liaoyang K.S. Automotive Spring Co. Ltd. (LKS)

Liaoyang K.S. Automotive Spring Co. Ltd. (LKS) is a joint venture between FAW Group subsidiary Fawer Automotive Co. Ltd. and K.S. Automotive Suspension Asia Private Ltd., established by ThyssenKrupp Bilstein Suspension (TKB), a subsidiary of ThyssenKrupp Automotive AG.
Operations commenced in 1995. LKS produces a wide range of suspension parts including springs, stabilizer bars and torsion bars. Major customers include FAW Car, FAW-Volkswagen, Chery, JAC, Dongfeng Motors, Shanghai GM-Wuling, and China Brilliance.
ThyssenKrupp Automotive AG is one of the world's largest automotive supply companies. Operating from more than 120 production locations in 17 countries, the company manufactures customized components, modules and systems for body, chassis and powertrain requirements in all the major markets. ThyssenKrupp Automotive holds leading positions in body parts, engine components such as crankshafts and assembled camshafts, steering columns and steering systems, air springs and damping systems, axles and complete vehicles.

United Aluminum Radiator Co. Ltd.

United Aluminum Radiator Company Ltd. (UARCO) is a joint venture between FAW Group subsidiary Fawer Automotive Parts Co. Ltd. and Visteon Corporation's International Business Development Group that produces high quality aluminum heater cores and radiators. Opened in 1995, the 4,385 square meter plant has an annual capacity of 520,000 units. The factory utilizes the latest technology production machinery and testing equipment from the United States, United Kingdom, and South Korea.

Main products include radiators and heater cores for the Jetta A2, Hongqi luxury sedans, Bora A4, Audi A6, and other passenger cars. Products are supplied to FAW-VW Automobile Co. Ltd., FAW Car Co. Ltd., FAW Jilin Automobile Co. Ltd., FAW Hainan Automobile Co. Ltd., Changhe Suzuki Automobile Co. Ltd., global automakers and the aftermarket.

Products feature superior heat dissipation, high strength, and corrosion resistance, combined with low weight and long life. Product performance meets or exceeds the requirements set forth by Volkswagen AG, Ford Motor Company, and FAW Group. In addition to receiving the "National Technical and Advanced Scientific" award, the company is ISO9001 certified. TUV certification was received in 1998, followed by certificates for the QS9000 and VDA6.1 quality systems from Perry Johnson, Incorporated (PCI) in 1999.
