FAW Bharat Forge (Changchun) Company Limited

FAW Bharat Forge Co. Ltd. (FAW-BF) is a joint venture between FAW Group and Bharat Forge Ltd. (BFL). Operations commenced on March 20, 2006. The partnership centers on FAW Group's forging operation, FAW Forging Co. Ltd.

Within the Changchun-based FAW Bharat Forge Co. Ltd. (FAW-BF), company, Pune, India-based BFL holds a 52% controlling equity and FAW Group a 48% stake. The company's 100,554 square meter plant represents a US $90 million investment with registered capital of US $54 million. With 1,700 employees and a 100,000 ton annual production capacity, the company plans to reach the 200,000 ton level within ten years.

FAW Forging Co. Ltd., one of the largest forging facilities in China, has produced quality forged automotive parts for over 50 years. The company has 43 production lines producing over 900 different forged products for automobile and light, medium, and heavy truck applications.

The Kalyani Group is one of the leading industrial houses in India, having core businesses in steel and steel-based products, forgings, and automotive components. With annual sales exceeding US $1.5 billion, the group has joint ventures with some of the world's leading manufacturers including ArvinMeritor, Carpenter Technology Corporation, and Hayes Lemmerz International. Bharat Forge Limited (BFL), the flagship company of the group, is the second largest forging company in the world and the largest domestic player with an 80% market share in axle and engine components. BFL's capabilities include forging, heat treatment, machining, dies and tooling, processing, testing, and logistics. Its forging division has 10 production lines ranging from 2,500-16,000 tons that produce over 150 categories of products.

BFL's investment in the new joint venture is the largest to date by any Indian company in China, and represents a significant milestone in the development of Sino-Indian bilateral trade and economic development. Through cooperation, FAW Forging and Baharat Forge are jointly pursuing the potential of the vast China market while also becoming a preferred global automotive supplier. The company leverages Bharat Forge's established global sales channels and resources to become the largest forging center in China.

FAW-BF manufactures highly engineered forged automotive components for passenger cars, light trucks, buses, and commercial vehicles. The company also produces forged products for the railway, mining, steel, and petroleum industries. FAW-BF designs, develops, and provides technical consultation for forging dies, and offers technical services for non-standard forging equipment and technical equipment.

Bharat Forge Ltd., the flagship company of US $1.5 billion Kalyani Group, is a full service supplier of forged engine & chassis components. It is the largest exporter of forged automotive components in India and a leading global chassis components manufacturer.

FAWER Y-TEC Chassis Parts Co. Ltd.

Fawer Y-Tec is a joint venture between FAW Group subsidiary Fawer Automotive Parts Co. Ltd., Y-TEC Corporation, and Sumitomo Corporation with a contractual duration of 30 years. Construction began in October 2005 with operations commencing on June 16, 2006. The joint venture provides competitive, high quality chassis parts for Mazda6 production at FAW Car Company.

With a total investment of 237.3 million Yuan (RMB), the joint venture's share ratio is 40%, 40% and 20% respectively. The plant covers 37,800 square meters with a building area of 11,177 square meters. Fawer Y-Tec employs a talented, highly-trained staff of over 60 people.

The company utilizes advanced production techniques under license from Y-TEC in the production of Mazda6 chassis parts for FAW Car Co. Ltd.. The joint venture's main products include front subframes, rear subframes, lower control arms, and longitudinal arms. Annual production capacity is expected to reach 70,000 units by 2008. The factory includes a hydroforming line, welding line, and paint line. Fawer Y-Tec is the first company in China to make use of the advanced technique of hydroforming, an advanced new process in which single metal pipes are formed into desired shapes using fluid pressure, resulting in lower production cost and parts that are lighter, stronger, and more precise. Precision, high-speed welding is accomplished by 35 state-of-the-art electric servo-driven robots from FUNAC Robotics. Controlled via a Mitsubishi PLC control system, the robots are formed into several task-specific arc welding systems. The system includes a diagnostics function that can automatically detect when quality issues occur. The paint line uses an advanced cathodic electrocoat (E-Coat) process with an automated control system designed and manufactured by the Nippon Paint Co. Ltd.

Tianjin Fawer Denso Air Conditioner Co. Ltd.

Tianjin Fawer Denso Air Conditioner Co. Ltd. is a joint venture between Denso Corporation and FAW Group subsidiary Fawer Automotive Parts Co. Ltd.

Operations commenced in February 2005. The company supplies its products to Tianjin FAW Toyota Motor Co. Ltd. (TFTM) and other global automakers.

Its customers include all the world's major carmakers. Worldwide, the company employs approximately 112,000 people in 32 countries and regions, including Japan. Consolidated global sales for the fiscal year ended March 31, 2007 totaled US$30.6 billion.

Changchun Fawer-Johnson Controls Automotive Systems Co. Ltd. (FJC)

Changchun Fawer-Johnson Controls Automotive Systems Company Ltd. (FJC) was founded in August of 2001. The company is a joint venture between Changchun FAW Sihuan Automobile Co. Ltd. and Johnson Controls Inc., manufacturing a wide range of vehicle interior trim components. With a registered capital of US $59.6 million, facilities cover a total land area of 123,000 square meters with a production area of 78,000 square meters. With 2,109 employees, FJC includes 7 plants and 14 departmental units.

The company's business scope includes design, development, manufacture, sales, and after sales support for vehicular seating, IP, consoles, door panels, headliners, and body electronics. The company employs the BOS management system while also utilizing 6 Sigma, JCMS, MFG/PRO and MAXIMO management tools. ISO/TS16949, ISO14001, and OHSAS18000 certifications were received in 2004 in conjunction with a system wide quality management audit of FJC's production processes.
